Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and AdSelect ("we," "us," or "our"). By accessing our website, creating an account, or using any of our services, you agree to be bound by these Terms in their entirety.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use our services.

We recommend that you read these Terms carefully before using our platform. Your continued use of AdSelect services after any modifications to these Terms constitutes acceptance of those changes.

2. Description of Services

AdSelect operates a digital advertising network and technology platform that connects website publishers ("Publishers") with advertisers ("Advertisers"). Our services include:

  • Programmatic ad serving and delivery across Publisher properties
  • Real-time bidding infrastructure for Advertisers to purchase ad inventory
  • Campaign management tools including targeting, budgeting, and scheduling
  • Analytics and reporting dashboards for both Publishers and Advertisers
  • Ad optimization powered by machine learning algorithms to maximize performance
  • Fraud detection and invalid traffic filtering to protect all parties
  • Payment processing for Publisher earnings and Advertiser billing

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect their use of the platform.

3. Account Registration

To access most features of the AdSelect platform, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate
  • Keep your login credentials confidential and not share them with third parties
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account or any security breach

We reserve the right to reject any application, suspend, or terminate accounts at our discretion, including for violations of these Terms, suspected fraud, or inactivity exceeding 12 consecutive months.

4. Publisher Terms

Ad Placement Policies

Publishers who integrate AdSelect ad tags into their websites or applications agree to the following placement requirements:

  • Ad units must be placed in clearly visible locations and must not be obscured, hidden, or rendered in zero-pixel iframes
  • Publishers must not place ads in a manner that encourages accidental clicks, including near interactive elements or within deceptive layouts
  • The maximum number of ad units per page must comply with the limits specified in your Publisher dashboard
  • Ad placements must comply with the Coalition for Better Ads standards and must not create disruptive user experiences
  • Publishers must implement and maintain our ad tags according to the technical documentation provided

Prohibited Content

Publisher properties must not contain or promote:

  • Illegal activities, substances, or services in any applicable jurisdiction
  • Content that promotes violence, hate speech, discrimination, or harassment
  • Sexually explicit or pornographic material
  • Content that infringes on intellectual property rights of third parties
  • Malware, spyware, or any software that compromises user security
  • Deceptive, misleading, or fraudulent content designed to mislead users
  • Content that violates applicable advertising regulations or industry standards

Payment Terms

  • Payment schedule: Publisher earnings are calculated monthly and paid on a NET-30 basis from the end of each calendar month
  • Minimum payout: Payments are issued when your balance reaches a minimum of $100.00 USD. Balances below this threshold will roll over to the following period
  • Payment methods: We support wire transfer, PayPal, and ACH. Publishers are responsible for any fees charged by their financial institution
  • Revenue adjustments: We reserve the right to adjust earnings for invalid traffic, policy violations, or advertiser chargebacks. Adjustments will be reflected in your dashboard with explanations
  • Tax obligations: Publishers are responsible for reporting and paying all applicable taxes on earnings received from AdSelect

5. Advertiser Terms

Campaign Guidelines

Advertisers using the AdSelect platform agree to the following campaign requirements:

  • All campaigns must comply with applicable advertising laws and regulations in the targeted jurisdictions
  • Targeting parameters must be set honestly and must not be used to circumvent content policies
  • Landing pages must be functional, clearly related to the ad creative, and free of malware or deceptive practices
  • Campaign budgets and bids must be set in good faith and backed by adequate funding

Acceptable Ad Content

All advertising creative submitted to the AdSelect platform must meet these standards:

  • Ads must be truthful, non-deceptive, and substantiated by evidence where claims are made
  • Creative must not contain malicious code, auto-redirects, forced downloads, or pop-ups
  • Ads must clearly identify the advertiser and not impersonate other brands or entities
  • All creative must comply with format specifications and file size limits detailed in our documentation
  • Ads for regulated industries (pharmaceuticals, financial services, alcohol, gambling) must include all required disclaimers and comply with industry-specific regulations

Billing and Payment

  • Billing cycle: Advertisers are billed based on the pricing model selected (CPM, CPC, or CPA) as reflected in campaign settings
  • Prepaid accounts: Campaigns will pause automatically when the prepaid balance is depleted. You are responsible for maintaining sufficient funds
  • Invoiced accounts: For qualified Advertisers, invoices are issued monthly with payment due within 30 days of the invoice date
  • Late payments: Overdue balances may incur a late fee of 1.5% per month. Accounts with outstanding balances exceeding 60 days may be suspended
  • Taxes: All fees are exclusive of applicable taxes. Advertisers are responsible for any sales tax, VAT, or withholding tax

Refund Policy

Refunds are handled on a case-by-case basis under the following guidelines:

  • Prepaid funds that have not been spent may be refunded upon written request, minus any applicable processing fees
  • Charges for impressions or clicks confirmed as invalid traffic by our fraud detection systems will be credited automatically
  • Refund requests for campaign performance dissatisfaction are not eligible, as AdSelect does not guarantee specific campaign outcomes
  • All refund requests must be submitted within 60 days of the billing date in question

6. Prohibited Activities

The following activities are strictly prohibited on the AdSelect platform. Violations may result in immediate account termination and forfeiture of any outstanding balances:

  • Click fraud and impression fraud: Generating artificial clicks, impressions, or conversions through any means, including manual clicking, automated scripts, bots, or click farms
  • Bot traffic: Directing non-human traffic to pages containing AdSelect ad units, or failing to implement reasonable measures to prevent bot traffic on your properties
  • Ad stacking: Layering multiple ad units on top of each other so that only the top ad is visible while all ads register impressions
  • Misleading content: Using deceptive tactics to drive traffic, including fake news, misleading headlines, or content that does not match its promotion
  • Unauthorized scraping: Scraping, crawling, or using automated tools to extract data from the AdSelect platform, APIs, or dashboards without express written permission
  • Domain spoofing: Misrepresenting the domain, app, or context in which ads are served
  • Cookie stuffing: Dropping affiliate or tracking cookies without user knowledge or consent
  • Incentivized engagement: Offering rewards, compensation, or incentives to users for clicking on ads or viewing ad content
  • Account manipulation: Creating multiple accounts to circumvent restrictions, bans, or payout thresholds

7. Intellectual Property

All content, technology, trademarks, logos, and materials on the AdSelect platform are the exclusive property of AdSelect or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without prior written consent.

Advertisers retain ownership of their ad creative and campaign materials. By uploading content to our platform, you grant AdSelect a non-exclusive, worldwide, royalty-free license to use, display, and distribute your creative solely for the purpose of delivering your advertising campaigns.

Publishers retain ownership of their website content. By integrating AdSelect ad tags, Publishers grant us a limited license to serve advertisements on their properties in accordance with these Terms.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AdSelect provides its services on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • AdSelect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, regardless of the cause of action or theory of liability.
  • Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the greater of (a) the total fees paid by you to AdSelect during the 12 months preceding the claim, or (b) $500.00 USD.
  • We do not guarantee specific revenue amounts, ad fill rates, campaign performance metrics, or return on investment for any user of the platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless AdSelect, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the AdSelect platform or violation of these Terms
  • Content you publish, advertise, or distribute through our services
  • Your violation of any applicable law, regulation, or third-party rights
  • Any dispute between you and a third party related to ads served through our platform
  • Any fraudulent, negligent, or wrongful act or omission by you or your agents

10. Termination

Either party may terminate the relationship under the following conditions:

  • Voluntary termination: You may close your account at any time by contacting us or through your account settings. Termination will take effect at the end of the current billing cycle
  • Termination for cause: AdSelect may suspend or terminate your account immediately and without notice if you violate these Terms, engage in prohibited activities, or if we reasonably believe your account poses a risk to our platform or partners
  • Effect of termination: Upon termination, your right to access and use the platform ceases immediately. For Publishers, any outstanding balance above the minimum payout threshold will be paid according to the standard payment schedule. Balances below the minimum threshold may be forfeited if termination results from a policy violation

Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination of these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, provide notice through the platform dashboard or via email to registered users.

Changes become effective upon posting unless we specify a later effective date. Your continued use of AdSelect services after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using our services and close your account.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or our services shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

You agree that any proceedings shall be conducted on an individual basis and not as a class action, class arbitration, or representative action.
